Terms of Service

KnowledgeRetention is operated by ChAImp, a nonprofit organization, 720 Seneca St, Ste 107 #964, Seattle, WA 98101. If your organization has an executed Master Service Agreement or Order Form with ChAImp, that agreement governs and these terms apply only where it is silent.
1. The service
KnowledgeRetention is a knowledge-capture and continuity service for nonprofit organizations. We may update, enhance, or modify the service over time, provided the changes do not materially degrade core functionality. Beta, preview, and experimental features are provided “as is,” may be incomplete or unstable, and may be changed or withdrawn at any time without notice.
2. Your responsibilities
You are responsible for:
- ensuring the data you submit is accurate, lawful, and properly authorized;
- obtaining any consents needed for us to process it;
- keeping credentials confidential (two-factor authentication is required on every account);
- managing your users' access and permissions;
- reviewing and validating all outputs generated through the service, including AI-generated content — answers, briefs, and structured knowledge are aids, not authority.
Your organization is solely responsible for its own decisions, communications, and actions taken using the service.
Sensitive personal data
The service is built for institutional knowledge — duties, contacts, deadlines, processes. Do not submit Social Security numbers, government-issued ID numbers, full financial account or card numbers, passwords, or health records. The service does not require them, prompts against them, and automatically redacts them where detected — but detection is not guaranteed. Anything you nevertheless submit is Customer Data provided at your direction and under your responsibility (including the consents required to submit it). To the maximum extent permitted by law, ChAImp is not liable for the exposure of sensitive personal data you chose to submit contrary to this section, and claims arising from such data fall under your indemnification obligations below. ChAImp's liability in all cases remains limited as set out in Section 9.
3. Acceptable use
You may not: violate any law; upload unlawful, harmful, or infringing content; interfere with or disrupt the service; attempt unauthorized access (including to any other organization's data); introduce malware; or use the service to send unlawful or unsolicited communications. We may suspend access or remove content that violates this section, and may suspend access where necessary to address security threats, prevent harm, comply with law, or respond to misuse — restoring it once resolved.
4. Fees
Paid plans, when available, are annual subscriptions billed through Stripe. Pro bono and conditional pricing arrangements are governed exclusively by the applicable agreement (Schedule A of the MSA). After a failed renewal you have a 14-day grace period before the workspace becomes read-only. You are responsible for fees charged by third-party services you use directly.
5. Term, termination & your data
Either party may terminate with 60 days' written notice; we may terminate immediately for a material breach uncured after 30 days. On termination your access ceases and we make your data available for export in a commonly usable format — canceled accounts retain data for 90 days for export, after which it is deleted. While we maintain commercially reasonable safeguards, you are responsible for retaining your own copies of data critical to your operations.
6. Intellectual property
The platform, code, documentation, and templates remain ChAImp's. Your data remains yours. We may use anonymized, non-identifying data for analytics and service improvement — but never to train AI models (see Privacy). Feedback you provide may be used freely.
7. Third-party services
The service relies on third-party providers — including Vercel, Neon, AWS, Cloudflare, Porkbun, Resend, Anthropic, AssemblyAI, and Stripe. We do not control them and are not responsible for their outages, security incidents, pricing or policy changes, or account decisions. We may add or replace providers over time.
8. Warranty disclaimer
The service is provided “as is” and “as available.” We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, and accuracy of outputs, including AI-generated content. The service does not constitute legal, tax, accounting, financial, or professional advice; you remain solely responsible for compliance with laws applicable to your organization, including charitable solicitation, donation receipting, and tax-exempt obligations. No particular fundraising, engagement, or operational outcome is guaranteed.
9. Liability
Neither party is liable for indirect, special, incidental, or consequential damages. ChAImp's total liability shall not exceed the fees you paid in the 12 months preceding the claim (or $0 for free, beta, or pro bono use). This Agreement is entered into between organizations: to the maximum extent permitted by law, no founder, officer, director, employee, contractor, volunteer, or agent of either party has personal liability under it.
10. Indemnification
You indemnify ChAImp against claims arising from misuse of the service, violation of law, breach of these terms, or your data. ChAImp indemnifies you against claims that the service infringes third-party intellectual property rights. The indemnified party must promptly notify, cooperate, and allow the indemnifying party to control the defense.
11. Disputes & governing law
These terms are governed by the laws of the State of Washington. Disputes are resolved by binding arbitration in King County, Washington.
12. Changes
We may update these terms and will give reasonable prior notice of material changes. Continued use after the effective date constitutes acceptance; if you do not agree to a material change, your remedy is to terminate before it takes effect.
